**Google Ads Agreement**

These terms and conditions (“Agreement”) govern the relationship between, hereinafter referred to as “ or,” and the client engaging in the services of, hereinafter referred to as the “Client.” By entering into a business relationship with, the Client agrees to abide by the terms and conditions outlined herein.

The rest of the document will use “ or” to refer to the agency and “Client” to refer to the purchaser of services from “” Please replace “ or” and “Client” with your specific names if they differ.

**1. Services Provided:**  agrees to provide Google Ads management services to the Client, including but not limited to campaign creation, optimization, and reporting.

**2. Payment Terms:**

Client agrees to pay for the services provided according to the payment terms outlined on or provided by the team as a form of proposal. Payment is due monthly on the same date when the service is started. Late payments may incur if the client will not be able to pay on time by 5% or the whole monthly amount.

**3. Duration and Termination:**

This agreement shall commence on the date of buying services using the cart system or sent by the team proposal and continue until terminated by either party. Either party may terminate this agreement with 30 days written notice.  reserves the right to terminate the agreement immediately in case of non-payment or material breach of the terms.

**4. Confidentiality:**

Both parties agree to keep all information exchanged during the course of this agreement confidential. This includes, but is not limited to business strategies, client lists, and any proprietary information.

**5. Intellectual Property:** retains ownership of any materials, including but not limited to ad creatives and campaign strategies, created during the term of this agreement.

**6. Client Responsibilities:**

Client agrees to provide all necessary information, access, and cooperation required for to effectively manage Google Ads campaigns. Failure to provide such information may impact the performance of the campaigns.

**7. Performance Metrics:** will provide monthly reports on the performance of Google Ads campaigns. However, no guarantees are made regarding specific results or outcomes. The client acknowledges that the success of online advertising is influenced by various factors beyond the control of, and there is no assurance of achieving specific results or revenue.

8. Limitation of Liability: Agency’s liability under this agreement is limited to the total amount paid by the Client for the services rendered. In no event shall either party be liable for any consequential, incidental, or indirect damages.

**9. No Guarantee of Results:**

Client acknowledges and agrees that makes no guarantees regarding the success or performance of the Google Ads campaigns. Results are influenced by market conditions, competition, and other factors beyond Agency’s control.

**10. No Liability for Loss of Revenue: shall not be held liable for any loss of revenue, profits, or business opportunities incurred by the Client as a result of the Google Ads campaigns. The client assumes all risks associated with advertising and acknowledges that market conditions may impact the performance of the campaigns.

**11. Governing Law:**

This agreement shall be governed by and construed in accordance with the laws of state of Florida, USA.

**12. Modification:**

No modification of this agreement shall be valid unless in writing and agreed upon by both parties.
